These Terms of Service (“Terms”) are a legally binding agreement between you (“you” or “your”) and Old Salt Coffee Company, Inc. (“Old Salt Coffee,” “we,” “us,” or “our”) governing your access to and use of https://www.oldsaltcoffee.com, together with any related pages, mobile sites, social media pages, digital services, features, accounts, subscriptions, rewards programs, promotions, and other services we operate or make available (collectively, the “Site”).

By accessing or using the Site, creating an account, placing an order, joining a subscription, participating in a rewards program, submitting a review, or otherwise interacting with Old Salt Coffee, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Site.

These Terms incorporate by reference any additional policies posted on the Site, including our Privacy Policy, SMS / Mobile Terms of Service, Shipping Policy, Refund / Return Policy, and any additional terms disclosed at checkout or in connection with a particular product, subscription, promotion, or program.

1. Agreement to Terms

These Terms apply to all visitors, customers, account holders, subscribers, and other users who access or use the Site. If you access or use the Site on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms, and “you” will refer to both you and that entity.

2. Changes to These Terms

We may update or modify these Terms from time to time. When we do, we will revise the “Last updated” date above. Changes are effective when posted on the Site unless otherwise stated.

Your continued use of the Site after updated Terms are posted means you accept the updated Terms. You are responsible for reviewing these Terms periodically.

3. Eligibility and Use of the Site

You may use the Site only if you can form a legally binding contract under applicable law. Purchases must be made by individuals who are at least 18 years old or the age of majority in their jurisdiction, or by minors with the involvement and consent of a parent or legal guardian.

You are responsible for ensuring that your use of the Site complies with all laws, rules, and regulations applicable to you.

The Site is not designed to comply with industry-specific regulations such as the Health Insurance Portability and Accountability Act (HIPAA), the Federal Information Security Management Act (FISMA), or the Gramm-Leach-Bliley Act (GLBA). You may not use the Site in a way that would subject Old Salt Coffee to those or similar statutory or regulatory frameworks.

4. Intellectual Property Rights

Unless otherwise indicated, the Site and all content, features, and functionality on the Site, including text, graphics, logos, icons, images, audio clips, video clips, digital downloads, data compilations, software, product names, designs, trademarks, service marks, and other materials (collectively, the “Content”) are owned by or licensed to Old Salt Coffee and are protected by U.S. and international copyright, trademark, and other intellectual property laws.

The Content is provided for your personal, non-commercial use only. Except as expressly permitted in these Terms, you may not copy, reproduce, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, distribute, license, sell, or otherwise exploit any part of the Site or Content without our prior written consent.

Nothing in these Terms grants you any ownership rights in the Site, Content, trademarks, logos, product names, or other intellectual property of Old Salt Coffee or its licensors.

5. Your Representations

By using the Site, you represent and warrant that:

You will comply with these Terms and all applicable laws and regulations.
Any information you provide to us is true, accurate, current, and complete.
You will maintain and promptly update your information as needed.
You will not use the Site for any unlawful, fraudulent, misleading, abusive, or harmful purpose.
You will not interfere with the operation or security of the Site.

If we determine that you have provided false or misleading information, abused our Site or programs, or violated these Terms, we may suspend or terminate your access to the Site, cancel orders, cancel rewards or discounts, or take other action we deem appropriate, subject to applicable law.

6. Products

All products offered on the Site are subject to availability. We may discontinue, modify, substitute, or limit quantities of any products at any time without notice.

We make reasonable efforts to display product colors, features, descriptions, specifications, images, and prices accurately. However, we do not guarantee that product descriptions, images, pricing, availability, or other Site content will be complete, accurate, current, or error-free. Your device display may not accurately reflect the actual color or appearance of a product.

Coffee products, apparel, mugs, stickers, accessories, bundles, subscriptions, limited releases, and promotional items may vary in availability and may be subject to additional terms disclosed at the time of purchase.

7. Purchases and Payments

By placing an order through the Site, you agree to pay all charges incurred by you or on your behalf at the prices in effect when the order is placed, including product charges, shipping and handling charges, taxes, and any other charges disclosed at checkout.

We currently may accept payment methods such as major credit and debit cards, Shop Pay, PayPal, Apple Pay, Google Pay, and other payment methods made available at checkout. Available payment methods may change at any time.

You agree to provide current, complete, and accurate purchase, account, billing, shipping, and payment information for all orders. You agree to promptly update your account and payment information so we can complete transactions and contact you as needed.

We may refuse, limit, cancel, or modify any order for any reason, including suspected fraud, abuse, reseller activity, pricing errors, product availability, payment issues, shipping restrictions, or violation of these Terms. If we cancel an order after payment has been processed, we will issue any required refund to the original payment method unless otherwise required by law.

We reserve the right to correct pricing, product, or checkout errors, including after an order has been submitted. If a correction affects your order, we may contact you for instructions or cancel the order and issue any required refund.

8. Shipping, Delivery, Returns, and Refunds

Shipping, delivery, returns, refunds, exchanges, damaged goods, and related matters are governed by the policies posted on the Site and any terms disclosed at checkout.

Delivery dates and shipping timeframes are estimates only and are not guaranteed unless expressly stated. We are not responsible for delays caused by carriers, weather, customs, incorrect addresses, failed delivery attempts, or other circumstances outside our reasonable control.

Risk of loss and title for products pass to you when the products are delivered to the carrier, unless otherwise required by applicable law.

You are responsible for providing a complete and accurate shipping address. Additional charges may apply for reshipment, address correction, refused packages, or failed delivery attempts, subject to applicable law and our posted policies.

9. Subscriptions

Certain products may be offered on a subscription basis (“Subscriptions”). When you purchase a Subscription, you authorize Old Salt Coffee to charge your selected payment method on a recurring basis at the price, frequency, and terms disclosed at checkout, plus applicable taxes, shipping charges, and other charges disclosed at checkout.

General subscription terms

Unless otherwise stated at checkout, eligible coffee subscriptions may be delivered every 1, 2, or 3 months. Subscription pricing, eligible products, shipping terms, discounts, and available frequencies may vary by offer.

Subscriptions continue until canceled. By purchasing a Subscription, you agree to keep your account, shipping, and payment information current. If your payment method is declined or cannot be processed, we may attempt to process payment again, contact you for updated payment information, suspend the Subscription, cancel the Subscription, or take other action permitted by applicable law.

Coffee of the Month subscriptions

Coffee of the Month (“COTM”) may be offered as a monthly subscription or as a prepaid annual subscription. COTM terms, pricing, shipment schedule, renewal terms, and any included benefits will be disclosed at checkout or in the offer details.

Prepaid annual Coffee of the Month auto-renewal

Prepaid annual Coffee of the Month plans automatically renew unless canceled before the renewal date. If you purchase a prepaid annual COTM plan, you authorize Old Salt Coffee to charge your payment method in advance for the next annual term at the then-current price, plus applicable taxes and any applicable shipping charges, unless you cancel before renewal.

To prevent automatic renewal of a prepaid annual COTM plan, you must cancel the plan, turn off auto-renewal if that option is available in your customer portal, or contact us at contact@oldsaltcoffee.com before the renewal deadline stated in your renewal notice or account information.

Where required by law, we will provide a renewal reminder before a prepaid annual COTM plan renews. Renewal notices may be sent electronically if you purchased electronically or agreed to receive electronic communications.

If you cancel a prepaid annual COTM plan after payment has been collected, we will refund the unused portion of the prepaid subscription, excluding any order that has already been processed for fulfillment, unless otherwise required by applicable law.

Cancellation

You may request to cancel a Subscription at any time through any self-service subscription portal we make available, by following instructions in your account, or by contacting us at contact@oldsaltcoffee.com.

Cancellation requests are processed as promptly as reasonably possible. Unless otherwise required by law, cancellation applies to future orders and does not cancel or refund an order that has already been processed for fulfillment. For prepaid annual COTM plans, unused prepaid portions will be refunded as described above.

Changes to subscription pricing or terms

We may update Subscription prices, products, benefits, shipping terms, billing terms, or other Subscription terms from time to time. If a material change applies to an existing Subscription, we will provide notice as required by law. Continued enrollment in or use of a Subscription after any change becomes effective constitutes your acceptance of the change, unless otherwise required by law.

10. Rewards Program

Old Salt Coffee may offer a rewards, points, loyalty, referral, or similar customer program (“Rewards Program”). Rewards Program participation is subject to any additional terms disclosed in the rewards interface, offer details, or related program materials.

Unless otherwise stated, rewards points, credits, or benefits have no cash value, are not gift cards, are not property, may not be transferred, and may not be redeemed for cash. Rewards may be subject to exclusions, expiration, account requirements, minimum purchase amounts, discount-stacking limits, product restrictions, and other limitations.

We may modify, suspend, limit, or terminate the Rewards Program, rewards balances, earning rates, redemption options, or program benefits at any time, subject to applicable law. We may revoke rewards, cancel redemptions, or suspend accounts if we believe the Rewards Program has been abused, manipulated, or used in violation of these Terms.

11. Discounts, Promotions, and Offers

From time to time, we may offer discounts, promotional codes, bundles, free shipping offers, limited-time deals, giveaways, or other promotions. Promotions are subject to the terms stated in the offer and may be modified or canceled at any time unless prohibited by law.

Discounts and promotions may be limited by customer, product, order, location, date, channel, or other criteria. Promotional codes may expire, may not be redeemable for cash, may not be transferable, may not apply to prior purchases, and may not be combined with other offers unless expressly stated.

Military, teacher, first responder, or similar discounts may require verification through a third-party verification provider. We may deny, revoke, or limit discounts if we suspect misuse, fraud, ineligibility, or violation of offer terms.

12. SMS, Email, and Electronic Communications

By visiting the Site, placing orders, creating an account, submitting forms, or sending us emails, you are communicating with us electronically and consent to receive communications from us electronically, including notices, disclosures, agreements, order confirmations, shipping updates, policy updates, and other transactional or administrative communications.

If you sign up for email marketing, SMS marketing, or other promotional communications, you agree to receive those communications in accordance with your consent and applicable law. You may unsubscribe from marketing emails by using the unsubscribe link in the email. You may opt out of text messages by following the instructions in the message, such as replying STOP where supported.

Text messaging programs are also governed by our SMS / Mobile Terms of Service, available on the Site.

You agree that electronic signatures, contracts, orders, notices, disclosures, and other records satisfy any legal requirement that such communications be in writing, to the extent permitted by law.

13. User Contributions and Reviews

The Site may allow you to submit reviews, comments, photos, videos, testimonials, social media tags, or other content (collectively, “Contributions”).

By submitting Contributions, you represent and warrant that:

You are solely responsible for your Contributions.
You own or have the necessary rights to submit your Contributions.
Your Contributions are truthful, accurate, and based on your actual experience.
Your Contributions do not violate the rights of any third party, including intellectual property, privacy, publicity, or contractual rights.
Your Contributions are not unlawful, defamatory, obscene, offensive, harassing, threatening, misleading, or otherwise objectionable.
Your Contributions do not contain malware, spam, or other harmful content.
You will clearly disclose any material connection, incentive, free product, discount, relationship, employment, sponsorship, or other benefit connected to your Contribution where required by law.

By submitting Contributions, you grant Old Salt Coffee a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, and sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, display, and otherwise exploit such Contributions in any media or channel for any lawful purpose, including marketing and promotion, without compensation to you.

We reserve the right, but have no obligation, to monitor, edit, reject, remove, or refuse to display Contributions at our sole discretion, subject to applicable law. We do not claim that all Contributions reflect the views of Old Salt Coffee.

You may not submit fake reviews, reviews on behalf of someone else, reviews generated or materially altered in a deceptive way, or reviews that misrepresent your experience.

14. Submissions and Feedback

Any questions, comments, suggestions, ideas, feedback, proposals, product ideas, or other information you submit to us regarding the Site, products, services, marketing, or business operations (“Submissions”) are non-confidential and non-proprietary.

You grant Old Salt Coffee the unrestricted right to use and exploit Submissions for any lawful purpose, commercial or otherwise, without acknowledgment, compensation, or obligation to you. You agree that we may already be developing, considering, or using similar ideas independently.

15. Prohibited Activities

You may not access or use the Site for any purpose other than the purpose for which we make it available. In connection with your use of the Site, you agree that you will not:

Use the Site in any manner that violates applicable law or regulation.
Use the Site for fraudulent, misleading, deceptive, or harmful activity.
Engage in unauthorized framing of or linking to the Site.
Interfere with, disrupt, or create an undue burden on the Site or related networks or services.
Use bots, scripts, scrapers, crawlers, or automated tools to access the Site without our express written permission.
Introduce viruses, Trojan horses, worms, logic bombs, malware, or other harmful materials.
Attempt to gain unauthorized access to any part of the Site, accounts, servers, systems, or databases.
Circumvent security features, purchase limits, discount limits, or other restrictions.
Use the Site to advertise or offer goods or services without our prior written consent.
Harass, intimidate, abuse, or threaten any Old Salt Coffee employee, agent, contractor, customer, or other person.
Impersonate another person or misrepresent your affiliation with any person or entity.
Use the Site, discounts, rewards, reviews, subscriptions, or promotions for abusive, fraudulent, or manipulative purposes.

16. Third-Party Websites and Services

The Site may contain links to third-party websites, platforms, payment providers, social media pages, nonprofit partners, verification providers, shipping providers, or other services (“Third-Party Services”). Third-Party Services are not under our control, and we are not responsible for their content, policies, security, availability, or practices.

Links to Third-Party Services are provided as a convenience and do not imply endorsement by Old Salt Coffee unless expressly stated. Your use of Third-Party Services is at your own risk and subject to the terms and privacy policies of those third parties.

17. Site Management

We reserve the right, but not the obligation, to:

Monitor the Site for violations of these Terms.
Take appropriate action against anyone who violates these Terms or applicable law.
Refuse, restrict, suspend, or terminate access to all or part of the Site.
Remove, disable, or limit content or files that are excessive, burdensome, harmful, unlawful, or otherwise objectionable.
Manage the Site in a manner designed to protect our rights, customers, systems, and business operations.

18. Privacy Policy

We care about privacy and security. Please review our Privacy Policy, available on the Site. By using the Site, you acknowledge that personal information may be collected, used, shared, and protected as described in our Privacy Policy.

The Site is operated from the United States. If you access the Site from outside the United States, you acknowledge that your personal information may be transferred to, processed in, and stored in the United States or other countries where our service providers operate.

19. Copyright Complaints and DMCA Notices

We respect the intellectual property rights of others. If you believe that material available on or through the Site infringes a copyright you own or control, you may send a written notice to us at:

If we remove or disable access to material in response to a copyright notice, we may notify the user who posted it and provide information regarding counter-notification rights where applicable.

20. Term and Termination

These Terms remain in effect while you use the Site. We may suspend or terminate your access to the Site at any time, with or without notice, including if we believe you have violated these Terms or applicable law.

If your access is terminated, you are prohibited from creating a new account under your name or the name of any third party unless we give written permission. We reserve the right to pursue any legal remedies available to us, including injunctive relief and damages.

Termination does not affect rights or obligations that accrued before termination, including payment obligations, intellectual property rights, warranty disclaimers, limitations of liability, indemnification obligations, and dispute-resolution provisions.

21. Modifications and Service Interruptions

We may modify, suspend, or discontinue the Site, products, services, features, content, promotions, subscriptions, or programs at any time and for any reason, subject to applicable law.

We cannot guarantee that the Site will be available at all times. We may experience hardware, software, network, security, maintenance, or other issues resulting in interruptions, delays, errors, or loss of data. We will not be liable for any loss, damage, or inconvenience caused by your inability to access or use the Site during any downtime or interruption, except where prohibited by law.

22. Governing Law

These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of Hawaii, without giving effect to any choice or conflict of law provision or rule.

23. Dispute Resolution

Any legal action or proceeding arising out of or relating to these Terms, the Site, products, subscriptions, or services shall be instituted exclusively in the state or federal courts located in Honolulu County, Hawaii, unless otherwise required by applicable law.

You consent to the personal jurisdiction of those courts and waive any objections to venue in those courts, including any defense based on forum non conveniens.

Any cause of action or claim you may have arising out of or relating to these Terms, the Site, products, subscriptions, or services must be commenced within one (1) year after the cause of action accrues, unless a longer period is required by applicable law. If the one-year limitation is not permitted by applicable law, the shortest period permitted by applicable law will apply.

24. Disclaimer of Warranties

THE SITE AND ALL CONTENT, PRODUCTS, SUBSCRIPTIONS, PROGRAMS, AND SERVICES MADE AVAILABLE THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, OLD SALT COFFEE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; THAT DEFECTS WILL BE CORRECTED; OR THAT ANY CONTENT, PRODUCT INFORMATION, PRICING, AVAILABILITY, OR OTHER INFORMATION OBTAINED THROUGH THE SITE WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE.

Some jurisdictions do not allow limitations on implied warranties or certain exclusions, so some of the above disclaimers may not apply to you.

25. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OLD SALT COFFEE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR OTHER DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, PRODUCTS, SUBSCRIPTIONS, PROGRAMS, OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, IF WE ARE FOUND LIABLE TO YOU FOR ANY DAMAGE OR LOSS ARISING OUT OF OR IN ANY WAY CONNECTED WITH YOUR USE OF THE SITE, PRODUCTS, SUBSCRIPTIONS, PROGRAMS, OR SERVICES, OUR TOTAL LIABILITY WILL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO OLD SALT COFFEE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above limitations may not apply to you.

26. Indemnification

You agree to indemnify, defend, and hold harmless Old Salt Coffee, its affiliates, and their respective officers, directors, employees, agents, contractors, representatives, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

Your use of the Site, products, subscriptions, programs, or services.
Your violation of these Terms.
Your violation of applicable law.
Your violation of any third-party rights, including intellectual property, privacy, or publicity rights.
Your Contributions, Submissions, reviews, or other content.
Your fraud, misconduct, or misuse of discounts, rewards, subscriptions, promotions, or accounts.

We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate with our defense of such claims.

27. User Data

We may maintain data that you transmit to the Site for purposes of operating the Site, managing accounts, processing orders, improving performance, complying with legal obligations, and otherwise operating our business.

Although we may perform backups or use service providers that maintain data, we do not guarantee that data will not be lost, corrupted, unavailable, or deleted. You are responsible for maintaining your own copies of any information you wish to preserve, where applicable.

28. California Users

29. Miscellaneous

These Terms, together with any policies, rules, or additional terms posted by us on the Site or disclosed in connection with a purchase, subscription, promotion, or program, constitute the entire agreement between you and Old Salt Coffee regarding your use of the Site.

Our failure to exercise or enforce any right or provision of these Terms will not operate as a waiver of that right or provision. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms at any time, including in connection with a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.

The headings in these Terms are for convenience only and do not affect interpretation.
